Independent Legal Advice (ILA)

Independent legal advice (ILA) is legal advice a person receives from their own lawyer — one who has no conflict of interest and does not represent the lender, borrower, or any other party to the transaction — before signing a mortgage document that affects their legal rights.

When does a mortgage file require independent legal advice?

Lenders and private investors most often require ILA when someone is taking on obligation or risk without directly benefiting from the loan proceeds — a guarantor or co-signer, a spouse consenting to encumber the matrimonial home, or a family member gifting a down payment through a private arrangement. The goal is to make sure that person understands what they're signing and isn't signing under pressure from a spouse, relative, or the other side of the deal.

In practice, ILA means the client sits down with a lawyer who represents only them, who explains the document's effect in plain language, and who then signs a Certificate of Independent Legal Advice confirming the advice was given free of conflict. Brokers arranging private or MIC deals, or any file with a guarantor, should flag the ILA requirement early so it doesn't hold up closing.

How it’s used in Canada

No single national rule: ILA isn't mandated by one federal statute — it's typically required by the lender or default insurer for specific situations, and provincial law society rules govern how a lawyer must conduct it.

Common with guarantors: a person guaranteeing or co-signing a mortgage takes on real legal liability without receiving the loan funds or holding title, which is exactly the situation ILA is meant to protect against.

Tied to the matrimonial home: a spouse who isn't on title but must consent to encumber the matrimonial home is frequently required, or strongly advised, to get ILA given the extra protections around that property under provincial family law.

Evidenced by a signed certificate: the ILA lawyer provides a Certificate of Independent Legal Advice confirming there was no conflict of interest and that the client understood the transaction, which the lender or law society keeps on file.
